1. Agreement to Terms

Welcome to Communication Skills Academy Osaka ("Academy," "we," "our," or "us"). These Terms and Conditions ("Terms") govern your access to and use of our website located at https://technomatrixa.pro and all related coaching services, programs, and materials (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our Services.

4. User Eligibility

You must meet the following requirements to use our Services:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Provide accurate and complete information during registration
• Not be prohibited from using our Services under applicable law
• Comply with all terms and conditions set forth in these Terms

5. Registration and Account

5.1 Account Creation

6. Booking and Scheduling

6.1 Consultation Requests

When you submit a consultation request through our website:

• Your request does not constitute a confirmed booking
• We will contact you within 24 business hours to confirm availability
• Sessions are confirmed only after we send you written confirmation
• You must provide at least 24 hours' notice for cancellations or rescheduling

6.2 Scheduling Policies

• Punctuality: Please arrive on time for scheduled sessions. Late arrivals may result in shortened sessions without refund
• Cancellation: Cancellations made less than 24 hours before scheduled sessions may result in charges as outlined in Section 9
• Rescheduling: Sessions may be rescheduled with at least 24 hours' notice, subject to coach availability
• No-Shows: Failure to attend a scheduled session without notice will be charged in full

7. Fees and Payment

7.1 Service Fees

Fees for our Services vary based on:

• Type of coaching service selected
• Number of sessions purchased
• Individual vs. group coaching
• Package options and customization

Current pricing is available upon request and will be confirmed before service delivery.

7.2 Payment Terms

• Payment is required before or at the time of service delivery unless alternative arrangements are made
• We accept payment via credit card, debit card, bank transfer, or other approved methods
• Package payments may be structured as full payment or installments as agreed
• All fees are quoted in Japanese Yen (¥) unless otherwise specified

7.3 Payment Processing

We use third-party payment processors to handle transactions. Your payment information is subject to the privacy policies and terms of these processors. We do not store complete credit card information on our servers.

7.4 Late Payment

If payment is not received by the due date:

• We may suspend access to Services until payment is received
• Late fees may be applied as permitted by law
• We reserve the right to terminate your account for non-payment

7.5 Price Changes

We reserve the right to modify our fees at any time. Price changes will not affect Services already purchased or confirmed bookings.

8. Refund Policy

• Certain services may be non-refundable
• Refund requests must be submitted in writing
• Refunds are processed within 10-14 business days of approval

9. Cancellation Policy

9.1 Client Cancellations

• More than 24 hours notice: Full credit or refund as per Refund Policy
• Less than 24 hours notice: 50% charge of session fee
• No-show: 100% charge of session fee
• Package cancellations: Subject to terms outlined in your package agreement

9.2 Academy Cancellations

If we must cancel a scheduled session:

• We will provide as much notice as possible
• We will offer to reschedule at your convenience
• If rescheduling is not possible, you will receive a full refund for that session
• We are not liable for any indirect costs or damages resulting from our cancellation

10. Intellectual Property Rights

10.1 Our Content

All content on our website and provided through our Services, including but not limited to text, graphics, logos, images, videos, audio, software, and coaching materials (collectively, "Content"), is the property of Communication Skills Academy Osaka or our licensors and is protected by copyright, trademark, and other intellectual property laws.

10.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to:

• Access and use our website for personal, non-commercial purposes
• Use coaching materials provided to you solely for your personal development
• Download materials explicitly designated as downloadable

This license does not permit you to:

• Reproduce, distribute, or publicly display our Content
• Modify, create derivative works, or reverse engineer our Content
• Use our Content for commercial purposes
• Remove copyright or proprietary notices
• Share coaching materials with third parties

10.3 Trademarks

Our name, logo, and related marks are trademarks of Communication Skills Academy Osaka. You may not use our trademarks without our prior written permission.

10.4 Client Materials

You retain ownership of any materials you provide to us during coaching sessions. By providing materials, you grant us a license to use them solely for the purpose of delivering Services to you.

11. User Conduct

You agree to use our Services in a lawful and respectful manner. You will not:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Engage in harassment, abuse, or threatening behavior
• Transmit viruses, malware, or other harmful code
• Attempt to gain unauthorized access to our systems
• Interfere with the proper functioning of our Services
• Impersonate others or misrepresent your affiliation
• Collect information about other users without consent
• Use our Services for any fraudulent or illegal purpose
• Share your account credentials with others

12. Professional Relationship

12.1 Coaching Relationship

Our Services constitute professional coaching, not therapy, counseling, or medical advice. The coaching relationship is a professional partnership focused on communication skills development.

12.2 Client Responsibilities

As a client, you are responsible for:

• Actively participating in coaching sessions
• Completing agreed-upon assignments and practice activities
• Communicating openly about your goals and challenges
• Providing honest feedback about your progress
• Taking ownership of your development

12.3 Confidentiality

We maintain confidentiality regarding information shared during coaching sessions, except:

• When required by law
• When you provide explicit permission to share
• When necessary to prevent harm to you or others
• For anonymous case studies or testimonials (with your consent)

13. Results and Guarantees

Communication skills improvement requires time, practice, and consistent effort. Success varies based on individual circumstances, starting skill level, and dedication to the development process.

14. Testimonials and Marketing

14.1 Use of Testimonials

With your consent, we may use your testimonials, feedback, or success stories in our marketing materials. You may withdraw consent at any time by contacting us in writing.

14.2 Photograph and Video Release

If we photograph or record sessions (with your consent), you grant us permission to use such materials for marketing purposes unless you specify otherwise.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

15.1 No Indirect Damages

WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use our Services
• Any conduct or content of any third party on our Services
• Any content obtained from our Services
• Unauthorized access, use, or alteration of your transmissions or content

15.2 Liability Cap

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

15.3 Basis of the Bargain

THE LIMITATIONS OF LIABILITY SET FORTH IN THIS SECTION REFLECT THE ALLOCATION OF RISK BETWEEN THE PARTIES AND FORM AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN US.

16. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• TITLE
• ACCURACY, COMPLETENESS, OR RELIABILITY OF CONTENT

WE DO NOT WARRANT THAT:

• Our Services will be uninterrupted, timely, secure, or error-free
• The results obtained from using our Services will be accurate or reliable
• Any defects in our Services will be corrected
• Our Services will meet your specific requirements

17. Indemnification

You agree to defend, indemnify, and hold harmless Communication Skills Academy Osaka, its officers, directors, employees, contractors, agents, coaches, and affiliates from and against any claims, damages, costs, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of or inability to use our Services
• Your violation of these Terms
• Your violation of any rights of another party
• Your conduct in connection with our Services
• Any content you submit, post, or transmit through our Services

18. Dispute Resolution

18.1 Informal Resolution

Before filing any formal dispute, you agree to contact us and attempt to resolve the dispute informally by sending a written description of the dispute to [email protected]. We will attempt to resolve the dispute within 30 days.

18.2 Arbitration Agreement

If informal resolution fails, any dispute arising from or relating to these Terms or our Services shall be resolved through binding arbitration in accordance with the arbitration rules of Japan, rather than in court, except that you may assert claims in small claims court if your claims qualify.

18.3 Class Action Waiver

YOU AGREE THAT ANY ARBITRATION OR PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN YOU AND US INDIVIDUALLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

18.4 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to conflict of law principles.

19. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

• Post the updated Terms on our website with a new "Effective Date"
• Notify you via email (if you have provided your email address)
• Display a prominent notice on our website

Your continued use of our Services after changes are posted constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using our Services.

20. Termination

20.1 Termination by You

You may terminate your relationship with us at any time by:

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Communication Skills Academy Osaka regarding our Services.

21.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

21.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

21.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

21.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemic, government actions, or internet/telecommunication failures.

21.6 Language

These Terms are prepared in English. In the event of any conflict between the English version and any translated version, the English version shall prevail.

Section headings are for convenience only and do not affect the interpretation of these Terms.
